NJ Corporation Forms for Independent Professionals
On October 8th the IEEE Consultants’ Network of Northern NJ (www.TechnologyOnTap.org) will present will present a talk by Kathryn Schwartzstein, open to members and guests. A light snack will be offered to the participants.
About the Topic
Operating an independent professional practice requires informed decision-making about the basic structure of the business. Should it be a sole proprietorship, should it be incorporated?
In the course of her presentation, Ms. Schwartzstein will providing an overview of the various types of corporate forms in New Jersey, and the advantages and disadvantages of each form.
The different corporate entities are: sole proprietorships, partnerships, limited liability companies, S-corporation and C-corporation. Ms. Schwartzstein will discuss the requirements with the state for filings, the tax implications in general terms, and the effect on personal liability. The presentation is available here
About the Speaker(s)
Kathryn Schwartzstein focuses her practice on transactional work with local businesses. She has represented business owners in the formation of their corporations, sale of their businesses or acquisition of new businesses. This type of work is enhanced by her extensive experience negotiating and drafting contracts, including technology contracts. She has worked with business owners to resolve various disputes through litigation, including partner disputes, employment issues and contract disputes. .
Kathryn graduated from Boston College Law School in 2004 and summa cum laude from Boston College in 1998. She worked as an in-house corporate counsel for GoldenSource Corporation, an international software corporation and for the Technology Law Group of the Prudential Insurance Company of America before co-founding Smith + Schwartzstein LLC in 2009, in Morristown NJ.
